Terms of Service

1. Acceptance of Terms

These Terms govern your access to and use of the Invoicer website, desktop app, and CLI tools operated by Milad Fahmy ("Invoicer", "we", "us", "our"). By accessing or using the service, you agree to these Terms.

2. Eligibility

You must be at least 16 years old and have legal capacity to enter a binding agreement in your jurisdiction. If you use Invoicer for a business, you represent that you can bind that business.

3. License and Permitted Use

Subject to these Terms and applicable open-source licenses, we grant you a limited, revocable, non-exclusive, non-transferable right to use Invoicer for lawful invoicing and workflow purposes.

5. Open-Source Components and Brand Rights

Certain code may be licensed under open-source licenses, and your rights for those components are governed by their respective licenses. Brand names, logos, trade dress, and other non-code intellectual property remain reserved by Milad Fahmy unless expressly licensed.

6. Intellectual Property Reservation

Except for rights granted under applicable open-source licenses, all software, content, documentation, and branding associated with Invoicer are owned by Milad Fahmy and protected by applicable intellectual property laws.

7. No Warranty

To the maximum extent permitted by law, Invoicer is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

8. Limitation of Liability

To the maximum extent permitted by law, Milad Fahmy shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, business, or goodwill, arising from or related to your use of Invoicer, even if advised of the possibility of such damages.

Where liability cannot be excluded, liability is limited to the minimum amount permitted by applicable law.

You agree to defend, indemnify, and hold harmless Milad Fahmy from and against claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of Invoicer, your content, your communications, or your violation of these Terms or applicable law.

10. Third-Party Services

Invoicer may link to or interact with third-party services (for example email providers, GitHub, npm, Ko-fi). We do not control and are not responsible for third-party services, terms, uptime, or data practices.

11. Suspension and Termination

We may restrict, suspend, or terminate access at any time, with or without notice, when we believe it is necessary to protect rights, security, legal compliance, or platform integrity.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms at this URL and updating the effective date. Your continued use of Invoicer after changes means you accept the updated Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law rules. You agree that the competent courts of Cairo, Egypt, have exclusive jurisdiction over disputes arising from or relating to these Terms or your use of Invoicer.
